Oppenhoff & Partner advises SGL Group on the sale of its CFL/CE business to Triton
Oppenhoff & Partner has advised SGL Carbon, the world-leading specialist in carbon fibres, on all legal aspects of the sale of its cathodes, furnace linings and carbon electrodes (CFL/CE) business. In an auction process led by Deutsche Bank and HSBC, the private equity firm Triton Partners was the successful bidder.
The parties agreed on an enterprise value of 250 million Euros (cash-and-debt-free). Besides overhead functions in Wiesbaden and Meitingen, the CFL/CE business, which has over 600 employees, primarily consists of SGL Carbon Polska S.A. with production sites in Racibórz and Nowy Sacz. The closing of the transaction is still subject to clearance by the regulatory authorities. The closing is expected in the fourth quarter of this year.
SGL Group, which is situated in Wiesbaden, is a leading global manufacturer of products and materials made from carbon. At 33 production sites in Europe, North America and Asia, about 4,000 employees manufacture an extensive product portfolio ranging from carbon and graphite products, carbon fibres all the way through to composites.
