Oppenhoff & Partner advises TRUMPF on the acquisition of Aixtooling GmbH
Oppenhoff & Partner advised the high-technology company TRUMPF GmbH + Co KG on the acquisition of Aixtooling GmbH, Aachen, via its group company INGENERIC GmbH. The tool manufacturer for precision optics is being taken over with effect from 1 July 2019. TRUMPF is thus expanding its manufacturing technologies in the production of micro-optics for laser technology and the consumer goods industry.
Founded in 2005 as a spin-off of the Fraunhofer Institute for Production Technology (IPT), Aixtooling develops and produces high-precision pressing tools for precision molding, in which glass blanks are shaped between two half molds. The method is especially suitable for optics with complex geometries, such as those used in laser technology.
TRUMPF offers production solutions in the machine tool and laser technology sectors and promotes digital connectivity in the manufacturing industry through consulting, platform and software offers. In 2017/18 the group – which has about 13,500 employees – achieved sales of 3.6 billion Euros. With headquarters in Ditzingen and more than 70 subsidiaries, the company is represented in almost all European countries, in North and South America as well as in Asia. The TRUMPF subsidiary INGENERIC is the leading supplier of micro-optics for applications in the field of high-power diode lasers and data transfer.
An Oppenhoff team comprehensively advised TRUMPF on the transaction: Dr Markus Rasner (lead), Johanna Schindler and Marcel Markovic (all M&A), Anja Dombrowsky, Cornelia-Cristina Scupra (employment), Georg Lecheler (IP), Dr Gunnar Knorr (tax) and D. Simon Spangler (antitrust and state aid).
