Oppenhoff advises Iveco Group on an agreement with Mutares to transfer the ownership of MAGIRUS
Oppenhoff together with leading Italian firm Gatti Pavesi Bianchi Ludovici advised Iveco Group on an agreement with Mutares SE & Co. KGaA to transfer the ownership of MAGIRUS GmbH and its affiliates (MAGIRUS).
Subject to regulatory approval, the transaction is expected to be completed no later than January 2025, therefore in a timeframe that allows for a consistent transition in the interest of all stakeholders.
MAGIRUS manufactures and sells firefighting vehicles and equipment and employs more than 1,300 employees in Germany, Italy, France and Austria. Since 1864, MAGIRUS has represented a combination of innovation and tradition – serving firefighters around the world.
The transaction will provide MAGIRUS with full independence from Iveco Group and enable a standalone pathway into the future of the firefighting business.
Mutares is a listed international private equity holding company headquartered in Munich, acquiring medium-sized companies in special situations which show significant operational improvement potential.
The Oppenhoff team was led by Dr. Stephan König and included Sebastian Gutmann, Dr. Matthias Klefisch (all M&A/Corporate), Dr. Gunnar Knorr (tax), Dr. Simon Spangler, Renée Cherelle Eckruth (both merger control), Marvin Rochner, Dr. Stefanie Minzenmay (both real estate), Dr. Marc Hilber, Tobias Kollakowski, Christian Saßenbach (all IT&C), Dr. Carsten Bormann, Mareike Heesing (both FDI/export control), Dr. Alexander Willemsen, Cornelia-Cristina Scupra (both employment), Georg Lecheler, Dr. Patric Mau (both IP), Holger Hofmann, Stephan Müller, Juliane Prickartz (all public law), Dr. Anna-Gesine Lock (commercial law), and Dr. Wolfgang Kotzur (finance).
