For faster microchips: Oppenhoff advises SCHOTT on the acquisition of QSIL GmbH Quarzschmelze Ilmenau

Oppenhoff has advised the special glass manufacturer SCHOTT AG on the acquisition of QSIL GmbH Quarzschmelze Ilmenau. This is the largest acquisition in SCHOTT’s 140-year history. The parties have agreed not to disclose the purchase price. The transaction is subject to regulatory approvals and it is expected to close in early 2025.

This strategic step will enable the company to expand its portfolio to include high-performance quartz glass, an important material in the production of microchips that will also be used for future AI applications that require more computing power. With the acquisition, SCHOTT is taking over the production site for high-purity quartz glass. All 275 employees will be retained.

The international technology group SCHOTT, headquartered in Mainz, produces high-quality components and high-performance materials such as special glass, glass-ceramics and polymers. With around 17,100 employees in 30 countries, SCHOTT generated sales of 2.8 billion euros in 2024.

QSIL is a leading international specialist in high-melting and high-temperature resistant high-performance materials – in particular for high-purity quartz and special glass, sophisticated engineering ceramics and resistant refractory metals.

The Oppenhoff team, led by Dr. Regina Engelstädter, comprised Till Liebau, Dr. Günter Seulen, Dr. Carolin Roßkothen, Johanna Matheis (all Corporate/M&A), Marco Degginger, Tobias Kollakowski (both IT law, data protection), Anja Dombrowsky, Katharina Schäffer (both labour law), Marc Alexander Häger, Julia Höyng (both real estate), Dr. Wolfgang Kotzur (financing),  Dr. Simon Spangler and Renée Cherelle Eckruth (both antitrust law and merger control).

Oppenhoff has been advising on transactions of national and international companies and on corporate law matters for decades. The M&A team, which has received multiple industry handbook awards, recently advised Bayer on the acquisition of HiDoc Technologies, Suprajit Engineering on the purchase of the business operations of the SCS Group, the Wilms Group on the sale of Südkabel and the Iveco Group on an agreement with Mutares on the transfer of the MAGIRUS Group.
